💻 ALGOVECTER SOFTWARE LICENSE AGREEMENT (EULA)

🏢 1. COMPANY INFORMATION

This End User Licence Agreement (“EULA” or “Agreement”) governs the licensing, installation, activation and use of digital software supplied through AlgoVecter.

AlgoVecter is operated by DRT CIRCLE (PTY) LTD, a company registered in the Republic of South Africa.

In this Agreement:

“AlgoVecter,” “we,” “us,” and “our” mean DRT CIRCLE (PTY) LTD trading through the AlgoVecter brand.

“Customer,” “you,” and “your” mean the individual or legal entity that lawfully purchases or receives a licence to use an AlgoVecter Product.

This EULA forms part of the contractual terms governing your purchase and use of AlgoVecter Products.

📘 2. ACCEPTANCE OF THIS AGREEMENT

By purchasing, downloading, installing, activating, accessing or using an AlgoVecter Product, you agree to this EULA.

If you do not agree to this EULA, you must not install, activate or use the software.

Nothing in this Agreement excludes, limits or modifies any right that applicable law does not permit to be excluded, limited or modified.

🤖 3. SOFTWARE COVERED BY THIS EULA

This EULA applies to AlgoVecter digital software Products, including:

  • Expert Advisors (“EAs”);

  • trading indicators;

  • automated trading software;

  • analytical tools;

  • trading utilities;

  • scripts;

  • presets;

  • configuration files;

  • libraries;

  • associated executable files;

  • updates;

  • documentation; and

  • other digital software supplied under an AlgoVecter licence.

Different Products may be subject to different technical limitations, account limits, device limits or licence conditions.

Where Product-specific licence information is displayed on the applicable Product page, checkout page, licence certificate or documentation, that information forms part of this Agreement.

🔑 4. LICENCE GRANT

Subject to:

  • successful purchase;

  • payment of the applicable licence fee;

  • compliance with this EULA; and

  • any Product-specific licence conditions,

AlgoVecter grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the applicable Product.

You receive a licence to use the software.

You do not acquire ownership of the underlying:

  • source code;

  • algorithms;

  • software architecture;

  • copyright;

  • trademarks;

  • trading logic;

  • design;

  • documentation; or

  • other intellectual property.

👤 5. LICENCE HOLDER

Unless the applicable licence expressly states otherwise, an AlgoVecter licence is issued to the customer who completed the purchase.

The licence may not be transferred to another person or entity without AlgoVecter's prior written authorisation, except where applicable law gives the customer a non-waivable right of transfer.

Customers may be required to verify:

  • order ownership;

  • account ownership;

  • email address;

  • licence key; or

  • other purchase information

before licence support or activation changes are processed.

🔢 6. NUMBER OF TRADING ACCOUNTS

The maximum number of trading accounts permitted under a licence depends on the specific AlgoVecter Product and licence purchased.

The applicable Product page, licence description, checkout information or licence dashboard may specify the permitted number of accounts.

For example, a licence may permit use on:

  • 1 trading account;

  • 2 trading accounts;

  • 3 trading accounts;

  • 5 trading accounts;

  • an expressly stated number of trading accounts; or

  • another licence arrangement specifically identified by AlgoVecter.

The customer must not exceed the authorised account limit.

If no separate number is stated for a Product, the default licence is for one authorised end user subject to the activation limits technically applied to that Product.

🖥️ 7. NUMBER OF DEVICES

A Product may also be restricted by the number of:

  • computers;

  • VPS instances;

  • operating-system installations;

  • trading terminals;

  • devices; or

  • hardware identifiers

on which the licence may be activated.

The applicable device or activation limit will be determined by the Product-specific licence configuration.

Moving a Product to a replacement VPS or computer does not automatically increase the number of licensed devices.

🔐 8. LICENCE ACTIVATION

Certain AlgoVecter Products may require activation before they can be used.

Activation may involve:

  • a licence key;

  • customer email address;

  • trading-account number;

  • device identifier;

  • terminal identifier;

  • VPS identifier;

  • software-generated identifier;

  • online licence verification; or

  • another technical activation method.

AlgoVecter may use reasonable technical systems to verify that a Product is being used within its authorised licence limits.

🔄 9. ACTIVATION CHANGES

Customers may need a licence reset or activation change when:

  • replacing a computer;

  • changing VPS providers;

  • reinstalling an operating system;

  • changing an authorised trading account;

  • reinstalling the trading platform; or

  • experiencing another legitimate technical change.

Licence resets or transfers are subject to:

  • Product-specific limits;

  • reasonable security verification;

  • anti-abuse controls; and

  • the applicable licence conditions.

A licence reset does not transfer ownership of the licence to another person.

📊 10. TRADING ACCOUNT ACTIVATION

Where a Product is tied to one or more trading account numbers, the customer may only activate the Product on the number of accounts permitted by the purchased licence.

A licence must not be used to operate additional unlicensed accounts through:

  • account copying;

  • licence sharing;

  • credential sharing;

  • cloning;

  • virtualisation intended to circumvent licence limits;

  • technical workarounds; or

  • other methods intended to bypass licensing controls.

👤 11. PERSONAL USE

Unless otherwise stated, a personal licence permits the purchaser to use the software for their own authorised trading accounts.

A personal-use licence does not permit the customer to:

  • sell access to the EA or indicator;

  • rent the software;

  • licence it to another person;

  • install it for unrelated third parties;

  • operate it as a software-access service;

  • redistribute the Product; or

  • commercially exploit the software itself.

🏢 12. BUSINESS OR COMMERCIAL TRADING USE

Subject to the applicable Product licence, a customer may use a legitimately licensed AlgoVecter Product within their own trading activities.

For example, a customer may use the Product on an authorised:

  • personal trading account;

  • business-owned trading account;

  • proprietary trading firm account; or

  • other authorised trading account,

provided that:

  1. the customer is legally permitted to operate that account;

  2. the Product licence permits the relevant account;

  3. the authorised account limit is not exceeded; and

  4. the software itself is not being resold, sublicensed or redistributed.

Use of a Product in connection with trading activity does not give the customer the right to commercially distribute AlgoVecter software.

🏦 13. PROP FIRM USE

Certain AlgoVecter Products may be designed for use in proprietary trading firm environments.

Customers remain responsible for verifying whether their selected proprietary trading firm permits:

  • Expert Advisors;

  • automated trading;

  • the particular strategy type;

  • trade-management methods;

  • account copying; or

  • other relevant functionality.

An AlgoVecter licence does not override the rules of a proprietary trading firm.

🚫 14. NO RESELLING

Unless AlgoVecter has entered into a separate written reseller or distribution agreement with you, you may not:

  • resell an AlgoVecter Product;

  • sell copies of an AlgoVecter Product;

  • sell download access;

  • sell licence keys;

  • include AlgoVecter software in another commercial software package;

  • advertise yourself as an authorised reseller; or

  • charge another person for access to AlgoVecter software.

A standard end-user licence is not a reseller licence.

🚫 15. NO REDISTRIBUTION

You may not redistribute AlgoVecter software by any means without written permission.

This includes distribution through:

  • websites;

  • Telegram;

  • Discord;

  • WhatsApp;

  • email;

  • cloud-storage links;

  • file-sharing websites;

  • forums;

  • social media;

  • marketplaces;

  • private groups;

  • USB drives; or

  • any other physical or electronic means.

You may not provide Product files to another person simply because you purchased a valid licence.

👥 16. NO LICENCE SHARING

Licences and activation credentials must not be shared with unauthorised users.

You must not:

  • share a licence key publicly;

  • share protected download credentials;

  • share your AlgoVecter customer account to enable unauthorised access;

  • allow unrelated customers to use your licence;

  • provide access to Product files to third parties; or

  • create a shared licence pool.

📤 17. NO SUBLICENSING

You may not grant another person or business a licence to use AlgoVecter software under your own licence.

Only AlgoVecter or a properly authorised licensing partner may grant rights to use AlgoVecter software.

🧬 18. COPYING

You may make only those copies of a Product that are reasonably necessary for your authorised use and that are permitted by this Agreement or applicable law.

Any permitted backup copy remains subject to the same intellectual-property and licence restrictions as the original Product.

A backup copy must not be:

  • distributed;

  • sold;

  • uploaded publicly;

  • provided to another user; or

  • used to increase the number of licensed users or installations.

🔧 19. MODIFICATION

Unless expressly authorised by AlgoVecter or permitted by a non-waivable legal right, you may not:

  • modify the Product;

  • create unauthorised derivative versions;

  • patch executable files;

  • alter licensing components;

  • remove security features;

  • modify Product files for redistribution; or

  • create modified commercial versions of the Product.

Customer-adjustable settings and parameters intentionally made available through the Product interface may be configured normally.

🔍 20. REVERSE ENGINEERING

To the maximum extent permitted by applicable law, you must not:

  • reverse engineer;

  • decompile;

  • disassemble;

  • decode;

  • reconstruct;

  • translate source architecture;

  • attempt to discover source code;

  • extract protected algorithms; or

  • derive proprietary implementation details

from an AlgoVecter Product.

This restriction does not apply to the extent that applicable law gives a lawful user a right that cannot validly be restricted by contract.

Any legally permitted activity must remain within the precise limits of the applicable law.

🔓 21. CIRCUMVENTING LICENCE CONTROLS

You must not attempt to bypass or interfere with:

  • licence validation;

  • activation controls;

  • account limitations;

  • device limitations;

  • encryption;

  • security mechanisms;

  • software authentication;

  • Product protection systems; or

  • anti-piracy measures.

You must not use cracked, patched or unauthorised versions of AlgoVecter software.

🧪 22. ANALYSIS OF SOFTWARE

Nothing in this EULA is intended to prevent activities that applicable law expressly permits and does not allow a contract to prohibit.

Where legally permissible analysis is undertaken, information obtained may not be used to:

  • produce an infringing competing copy;

  • facilitate software piracy;

  • disclose protected source material;

  • circumvent licence requirements; or

  • infringe AlgoVecter's intellectual-property rights.

©️ 23. INTELLECTUAL PROPERTY OWNERSHIP

All copyright and other applicable intellectual-property rights in AlgoVecter software remain owned by DRT CIRCLE (PTY) LTD and/or its applicable licensors.

Protected materials may include:

  • source code;

  • compiled code;

  • executable files;

  • Expert Advisors;

  • indicators;

  • algorithms;

  • trading logic;

  • software structures;

  • licence technology;

  • databases;

  • presets;

  • documentation;

  • graphics;

  • interfaces;

  • designs;

  • Product names;

  • trademarks;

  • logos;

  • website material;

  • audiovisual material; and

  • associated intellectual property.

Purchase of a licence does not constitute an assignment of these rights.

™️ 24. TRADEMARKS & BRANDING

The AlgoVecter name, logos, Product names and associated branding may be protected by applicable intellectual-property laws.

You may not use AlgoVecter branding in a manner that falsely suggests:

  • partnership;

  • endorsement;

  • certification;

  • ownership;

  • dealership;

  • reseller status; or

  • affiliation

without written permission.

🏷️ 25. COPYRIGHT NOTICES

You must not remove, conceal or alter copyright, licence, trademark or proprietary notices contained within AlgoVecter Products or documentation.

🛡️ 26. SECURITY OF SOFTWARE

Customers must take reasonable steps to prevent unauthorised access to AlgoVecter Products.

This includes protecting:

  • download links;

  • customer accounts;

  • passwords;

  • activation keys;

  • licence files; and

  • software copies.

If you believe your licence credentials or Product files have been compromised, you should notify AlgoVecter.

📥 27. UPDATES

AlgoVecter may make Product updates available from time to time.

Updates may address:

  • bugs;

  • security;

  • compatibility;

  • platform changes;

  • technical functionality; or

  • other Product matters.

Unless otherwise stated, updates supplied under an existing licence remain subject to this EULA.

🔄 28. PRODUCT VERSIONS

AlgoVecter may release:

  • patches;

  • updates;

  • revisions;

  • major upgrades;

  • new editions; or

  • replacement Products.

A purchase does not automatically entitle the customer to every future major version or separately sold Product unless the applicable licence expressly provides that entitlement.

🔌 29. THIRD-PARTY SOFTWARE

AlgoVecter Products may operate with third-party systems such as:

  • MetaTrader;

  • broker platforms;

  • VPS environments;

  • operating systems;

  • prop firm infrastructure;

  • data services; or

  • third-party libraries.

Third-party software remains subject to its own licence terms and intellectual-property rights.

AlgoVecter does not grant ownership or licensing rights in third-party products.

⚠️ 30. SOFTWARE COMPATIBILITY

Customers are responsible for confirming the compatibility requirements stated for the Product.

A third-party platform update, broker change, VPS change or other external technical modification may affect software operation.

Where technically appropriate, AlgoVecter may provide updates or guidance, but third-party systems remain outside AlgoVecter's control.

📉 31. SOFTWARE USE & TRADING RISK

AlgoVecter Products are trading-related software and technical tools.

Use of licensed software does not remove:

  • market risk;

  • broker risk;

  • execution risk;

  • leverage risk;

  • technical risk;

  • VPS risk;

  • internet risk; or

  • operational risk.

The licence provides the right to use the applicable Product according to this EULA.

It does not alter the inherent risks associated with trading financial instruments.

🛑 32. LICENCE SUSPENSION

AlgoVecter may suspend a licence where there is reasonable evidence of:

  • licence sharing;

  • unauthorised redistribution;

  • software piracy;

  • fraudulent payment;

  • fraudulent chargeback activity;

  • activation circumvention;

  • unauthorised resale;

  • material breach of this EULA; or

  • unlawful use of the Product.

Where appropriate and subject to applicable law, AlgoVecter may investigate before permanently terminating a licence.

❌ 33. LICENCE TERMINATION

Your licence may terminate if:

  • you materially breach this EULA and the breach justifies termination;

  • payment for the licence is lawfully reversed or refunded;

  • the transaction is fraudulent;

  • the licence was obtained unlawfully; or

  • termination is otherwise permitted or required by applicable law.

Upon lawful termination, you must cease using the applicable Product and remove unauthorised copies in your possession or control.

Termination does not transfer ownership of the Product to the customer.

💳 34. REFUNDS & LICENCES

Refunds are governed by the AlgoVecter Refund & Digital Delivery Policy and applicable law.

Where a Product purchase is validly refunded in full and the associated licence is terminated, the customer must stop using the refunded Product.

A refund does not create a continuing right to use the software.

⚠️ 35. CHARGEBACKS

Where a payment associated with a Product licence is reversed following a chargeback or payment dispute, AlgoVecter may suspend the associated licence while the transaction is investigated, subject to applicable law.

If the payment is permanently reversed, the licence associated with that payment may terminate.

This does not prevent a customer from making a legitimate payment dispute concerning an unauthorised or otherwise lawfully disputable transaction.

🧾 36. PROOF OF LICENCE

AlgoVecter may maintain reasonable records relating to:

  • licence ownership;

  • purchase records;

  • activation status;

  • account identifiers;

  • activation dates;

  • authorised devices; and

  • licence history.

Such information will be processed in accordance with the AlgoVecter Privacy & Cookie Policy.

🔒 37. PRIVACY & ACTIVATION DATA

Licence systems may process technical information reasonably necessary to:

  • activate Products;

  • prevent piracy;

  • enforce licence limits;

  • secure Product access;

  • troubleshoot technical issues; and

  • maintain licence records.

Personal information used for these purposes will be handled according to the AlgoVecter Privacy & Cookie Policy and applicable law.

🌍 38. INTERNATIONAL USERS

AlgoVecter Products may be licensed to users in multiple countries.

Customers are responsible for determining whether use of the relevant Product is lawful within their jurisdiction and trading environment.

Nothing in this Agreement removes mandatory consumer or intellectual-property rights that applicable local law does not allow to be waived.

⚖️ 39. GOVERNING LAW

Subject to mandatory rights and jurisdiction rules that may apply to a particular customer, this EULA is governed by the laws of the Republic of South Africa.

Relevant South African legislation may include, where applicable:

Nothing in this EULA should be interpreted as excluding a legal right where applicable law prohibits such exclusion.

🤝 40. DISPUTES

If a dispute arises concerning:

  • licence ownership;

  • activation;

  • permitted accounts;

  • unauthorised distribution;

  • Product use;

  • intellectual property; or

  • another matter under this EULA,

the customer should first contact AlgoVecter so that the matter can be investigated.

Nothing prevents a customer from accessing a regulator, tribunal, court, ombud or consumer mechanism where applicable law grants that right.

✂️ 41. SEVERABILITY

If any provision of this EULA is found invalid or unenforceable, the affected provision will be limited or severed only to the extent necessary.

The remaining provisions will continue to apply.

📝 42. CHANGES TO THIS EULA

AlgoVecter may update this EULA to reflect changes in:

  • applicable law;

  • software;

  • licence systems;

  • security requirements;

  • activation processes;

  • technical infrastructure; or

  • Product offerings.

Any update will be subject to existing contractual rights and mandatory applicable law.

🔑 SOFTWARE LICENCE SUMMARY

Purchasing an AlgoVecter EA, indicator or other software Product grants a licence to use that Product within the account, device and activation limits applicable to the purchased licence. Ownership of the software and its intellectual property remains with DRT CIRCLE (PTY) LTD and/or its applicable licensors. Standard customer licences do not permit resale, redistribution, sublicensing, licence sharing, piracy or circumvention of activation controls. Reverse engineering and similar activities are prohibited to the maximum extent permitted by applicable law, without restricting any right that applicable law makes non-waivable.
