AlgoVecter is operated by DRT CIRCLE (PTY) LTD, a company registered in the Republic of South Africa.

In these Terms and Conditions (โ€œTermsโ€), โ€œAlgoVecter,โ€ โ€œwe,โ€ โ€œus,โ€ and โ€œourโ€ refer to DRT CIRCLE (PTY) LTD trading through the AlgoVecter website and brand.

These Terms govern access to and use of the AlgoVecter website and the purchase, download, licensing and use of digital products made available through AlgoVecter.


๐Ÿ“˜ 2. ACCEPTANCE OF THESE TERMS

By accessing AlgoVecter, creating an account, placing an order, purchasing, downloading, activating, installing or using any AlgoVecter Product, you agree to these Terms and any policies expressly incorporated into them.

If you do not agree to these Terms, you must not purchase, download, install or use the Products or Services.

Nothing in these Terms excludes, restricts or modifies a consumer right or legal protection that cannot lawfully be excluded, restricted or modified.

AlgoVecter provides an online platform through which customers may obtain digital trading-related software and technical tools.

Products may include:

  • Expert Advisors (โ€œEAsโ€);

  • trading indicators;

  • automated trading software;

  • analytical tools;

  • trading utilities;

  • EAs incorporating fixed Stop Loss and Take Profit functionality;

  • EAs incorporating dynamic trade-management functionality;

  • software designed for use within certain proprietary trading firm environments;

  • presets and configuration files;

  • software documentation;

  • updates where provided; and

  • other digital trading-related tools.

Each Product has its own specifications, functionality, requirements and limitations.

Customers should review the applicable Product page before purchasing.


๐Ÿ” 4. PERMITTED WEBSITE ACCESS

You may use the AlgoVecter website only for lawful purposes.

You must not:

  • interfere with the operation of the website;

  • attempt to gain unauthorised access to our systems;

  • introduce viruses, malware or malicious code;

  • circumvent security measures;

  • conduct fraudulent transactions;

  • scrape or systematically extract protected website content without permission;

  • impersonate another person;

  • interfere with another customer's account;

  • misuse payment systems; or

  • use AlgoVecter for unlawful activities.

We may restrict access where reasonably necessary to protect AlgoVecter, customers, intellectual property, payment infrastructure or website security.


๐Ÿ›’ PURCHASE TERMS

๐Ÿงพ 5. PRODUCT INFORMATION

AlgoVecter sells digital software Products.

Before purchasing, customers are responsible for reviewing:

  • the Product description;

  • supported trading platform;

  • operating requirements;

  • licence restrictions;

  • installation requirements;

  • supported instruments where specified;

  • account requirements where specified; and

  • other technical information displayed on the Product page.

Different AlgoVecter Products may use different software logic and technical configurations.

Purchasing one Product does not mean that it contains the functionality of another Product.


๐Ÿ’ป 6. COMPATIBILITY

Customers are responsible for confirming that their computer, VPS, operating system, trading terminal and other required technology meet the stated Product requirements.

AlgoVecter cannot control third-party systems including:

  • trading platforms;

  • brokers;

  • liquidity infrastructure;

  • VPS providers;

  • internet service providers;

  • operating systems;

  • proprietary trading firms;

  • payment providers;

  • market-data providers; and

  • third-party software.

Changes made by these providers may affect software compatibility or functionality.


๐Ÿฆ PROP FIRM USE

๐Ÿข 7. PROP FIRM COMPATIBILITY

Certain AlgoVecter EAs may be described as prop-firm compatible or designed with functionality intended for certain proprietary trading environments.

Such terminology describes intended technical functionality only.

It does not represent that any proprietary trading firm has approved, certified, endorsed or partnered with AlgoVecter unless AlgoVecter expressly states this in writing.

Prop firms establish their own rules concerning automated trading, trading styles, maximum losses, account activity, prohibited strategies and other requirements.

These rules can change independently of AlgoVecter.

Customers are responsible for reviewing the current rules of their chosen proprietary trading firm before using an AlgoVecter Product.

AlgoVecter does not control decisions made by proprietary trading firms concerning customer accounts, evaluations, challenges or eligibility.


๐Ÿ’ณ PAYMENT TERMS

๐Ÿ’ฐ 8. PRICES

The applicable Product price will be displayed before checkout.

Prices may be displayed in different currencies depending on the website configuration, payment processor and customer's location.

Customers will have an opportunity to review the applicable purchase amount before completing payment.

Applicable taxes may be charged where required by law.

Banks, card issuers and payment providers may separately impose:

  • currency-conversion fees;

  • international transaction charges;

  • bank charges; or

  • other payment-processing costs.

Such third-party charges are outside AlgoVecter's control.


๐Ÿ’ณ 9. PAYMENT AUTHORISATION

By submitting an order, you represent that:

  • the information supplied is accurate;

  • you are authorised to use the selected payment method; and

  • the transaction is lawful.

Orders may be refused, suspended or cancelled where reasonably necessary because of suspected fraud, unauthorised payment, payment failure, sanctions requirements, legal restrictions or security concerns.


๐Ÿ“ฅ DIGITAL DELIVERY

๐Ÿ“ฆ 10. DELIVERY OF PRODUCTS

AlgoVecter Products are primarily digitally delivered.

Depending on the Product, delivery may occur through:

  • customer account;

  • website download;

  • secure download link;

  • email;

  • licence activation;

  • licence key; or

  • another electronic delivery method disclosed during purchase.

Customers are responsible for supplying accurate account and contact information.


๐Ÿ”‘ ACCOUNT RULES

๐Ÿ‘ค 11. CUSTOMER ACCOUNTS

Where an AlgoVecter account is required, customers are responsible for maintaining the confidentiality and security of their login information.

You must:

  • provide accurate information;

  • maintain reasonable account security;

  • keep passwords confidential;

  • avoid sharing credentials with unauthorised persons; and

  • notify AlgoVecter if you reasonably believe your account has been compromised.

Customers must not create accounts using false identities or fraudulently access another person's account.


๐Ÿ” SOFTWARE LICENSING

๐Ÿ“œ 12. LICENCE TO USE

Unless otherwise stated on the relevant Product page or in separate licence terms, purchasing an AlgoVecter Product grants the purchaser a limited, non-exclusive, non-transferable licence to use that Product in accordance with its applicable licence conditions.

A software purchase does not transfer ownership of AlgoVecter's intellectual property, underlying software or source code.


ยฉ๏ธ INTELLECTUAL PROPERTY

๐Ÿ›ก๏ธ 13. OWNERSHIP

All applicable intellectual-property rights in AlgoVecter Products and website materials remain owned by DRT CIRCLE (PTY) LTD and/or its applicable licensors.

Protected material may include:

  • EAs;

  • indicators;

  • source code;

  • executable software;

  • algorithms;

  • software logic;

  • interfaces;

  • graphics;

  • Product names;

  • logos;

  • branding;

  • documentation;

  • website designs;

  • written material;

  • videos;

  • images; and

  • other proprietary content.


๐Ÿšซ 14. PROHIBITED USE

Except where expressly authorised or where applicable law creates a non-waivable right, customers must not:

  • redistribute AlgoVecter software;

  • resell software without authorisation;

  • publish download files or links;

  • sublicense Products;

  • share licences contrary to their licence conditions;

  • bypass licence controls;

  • circumvent activation systems;

  • remove ownership notices;

  • distribute modified copies;

  • upload Products to file-sharing services;

  • commercially exploit AlgoVecter intellectual property without permission;

  • falsely claim ownership of AlgoVecter Products; or

  • reverse engineer, decompile or disassemble Products except to the extent expressly permitted by applicable law.


๐Ÿ›ก๏ธ ACCEPTABLE USE

โœ… 15. LAWFUL USE

AlgoVecter Products must only be used lawfully.

Products must not be used to:

  • commit fraud;

  • gain unauthorised system access;

  • distribute malicious software;

  • interfere with third-party systems;

  • infringe intellectual-property rights;

  • circumvent lawful restrictions; or

  • conduct activities prohibited by applicable law.


๐Ÿ“Š NATURE OF ALGOVECTER PRODUCTS

๐Ÿค– 16. SOFTWARE AND TECHNICAL TOOLS

AlgoVecter supplies software and technical tools.

AlgoVecter does not, through the ordinary sale of these Products, take custody of customer trading funds or operate customer brokerage accounts.

Unless separately and expressly offered where legally authorised, the Products and general website materials are not intended to constitute personalised financial, investment or portfolio-management advice.

Customers remain responsible for their own decisions concerning whether, where and how software is installed, configured and used.


โš ๏ธ TRADING RISK DISCLOSURE

๐Ÿ“‰ 17. MARKET RISK

Trading financial instruments involves risk.

This includes trading involving foreign exchange, commodities, cryptocurrencies, indices, contracts for difference and other leveraged financial instruments.

Automated software does not remove trading, market, technical or operational risks.

Software operation can be affected by factors including:

  • market volatility;

  • price gaps;

  • spreads;

  • slippage;

  • liquidity;

  • execution delays;

  • rejected orders;

  • leverage;

  • broker conditions;

  • data-feed differences;

  • internet connectivity;

  • VPS availability;

  • hardware problems;

  • trading-platform interruptions;

  • third-party software changes;

  • customer settings; and

  • changing market conditions.

Customers are responsible for understanding the relevant Product and the risks associated with the trading environment in which they choose to use it.


๐Ÿ“ˆ HISTORICAL, BACKTEST & DEMONSTRATION DATA

๐Ÿงช 18. INFORMATIONAL MATERIAL

AlgoVecter may provide backtests, historical information, screenshots, charts, demonstrations, technical examples or other materials to demonstrate Product functionality.

Backtesting and simulated environments differ from live trading environments.

Historical or simulated information should therefore be understood in the context and conditions under which it was generated.

Customers should independently evaluate Product functionality before deciding how to deploy software.


โš™๏ธ SOFTWARE OPERATION

๐Ÿ–ฅ๏ธ 19. THIRD-PARTY TECHNOLOGY

AlgoVecter software may depend upon third-party systems that AlgoVecter does not own or control.

A Product's operation may therefore be affected by changes to:

  • MetaTrader or another supported platform;

  • broker infrastructure;

  • operating systems;

  • VPS systems;

  • APIs;

  • data feeds;

  • proprietary trading firm systems; or

  • other third-party technology.

AlgoVecter may issue updates or revised versions where appropriate and subject to the applicable Product terms.


๐Ÿ”ง 20. CONFIGURATION

Customers are responsible for following installation instructions and configuring Products correctly.

Changing Product parameters can change the manner in which software operates.

Customers should read applicable documentation before deploying software.


๐Ÿ”„ REFUNDS & CANCELLATIONS

๐Ÿงพ 21. DIGITAL PRODUCT REFUNDS

Refunds and cancellations are governed by AlgoVecter's separate Refund & Cancellation Policy together with applicable law.

Because AlgoVecter supplies digital software, eligibility for cancellation or refund may depend on factors such as the applicable law, nature of the Product, delivery status, download or activation status and circumstances surrounding the transaction.

Nothing in these Terms eliminates a statutory refund, cancellation, repair, replacement or other consumer remedy where applicable law does not permit that right to be waived.


โš ๏ธ DISCLAIMERS

๐Ÿ›ก๏ธ 22. SOFTWARE DISCLAIMER

To the maximum extent permitted by applicable law, AlgoVecter does not warrant that every Product will:

  • operate uninterrupted in every technical environment;

  • remain compatible with every third-party platform;

  • operate identically across different brokers;

  • remain unaffected by third-party updates;

  • be free from every software error; or

  • remain compatible with third-party systems that subsequently change.

Mandatory statutory warranties and consumer protections remain unaffected where they cannot legally be excluded.


๐Ÿ›‘ LIMITATION OF LIABILITY

โš–๏ธ 23. LIABILITY

To the maximum extent permitted by applicable law, DRT CIRCLE (PTY) LTD, AlgoVecter and their applicable directors, employees, contractors and service providers will not be liable for indirect, incidental, special or consequential loss resulting from matters outside their reasonable control or from a customer's deployment or configuration of trading software.

This may include circumstances involving:

  • market movements;

  • trading activity;

  • broker actions;

  • prop-firm decisions;

  • third-party outages;

  • internet interruptions;

  • VPS failures;

  • trading-platform failures;

  • incorrect customer configuration;

  • third-party software changes; or

  • unauthorised access resulting from a customer's failure to reasonably secure account credentials.

This section does not exclude liability or remedies that applicable law prohibits AlgoVecter from excluding.


๐ŸŒ INTERNATIONAL SALES

๐ŸŒ 24. CUSTOMERS OUTSIDE SOUTH AFRICA

AlgoVecter may make Products available internationally.

Customers are responsible for determining whether they are legally permitted to purchase and use the applicable Product in their jurisdiction.

AlgoVecter may restrict sales, downloads, payments or website access where reasonably necessary to comply with:

  • laws;

  • regulations;

  • sanctions;

  • payment-provider requirements;

  • export restrictions;

  • regulatory requirements; or

  • security requirements.

Availability of a Product on the website does not itself establish that the Product is legally available for every use in every country.


๐Ÿง‘โ€โš–๏ธ INTERNATIONAL CONSUMER RIGHTS

Customers in certain countries or regions may have mandatory consumer protections that apply to digital purchases.

Nothing in these Terms is intended to exclude a legal right that cannot lawfully be excluded by contract.

Where a mandatory local consumer law applies to a transaction and conflicts with these Terms, that mandatory legal requirement will apply to the extent required by law.

AlgoVecter may interact with or refer to brokers, trading platforms, proprietary trading firms, payment processors, VPS providers and other independent services.

Unless expressly stated otherwise, such references do not establish endorsement, certification, partnership or affiliation.

Third-party services are governed by their own terms and policies.


๐Ÿ”’ PRIVACY & DATA PROTECTION

๐Ÿ›ก๏ธ 27. PERSONAL INFORMATION

Personal information collected by AlgoVecter will be processed in accordance with the AlgoVecter Privacy Policy and applicable data-protection laws.

This may include the Protection of Personal Information Act 4 of 2013 (POPIA) where applicable.

International customers may additionally have rights under mandatory privacy legislation applicable to them.


๐Ÿช COOKIES

28. WEBSITE TECHNOLOGIES

AlgoVecter may use cookies and similar technologies for functionality, security, preferences, analytics and other purposes described in the AlgoVecter Cookie Policy.

Where applicable law requires consent before particular non-essential technologies are used, AlgoVecter will seek the required consent.


๐Ÿ“ง ELECTRONIC COMMUNICATIONS

โœ‰๏ธ 29. TRANSACTIONAL COMMUNICATIONS

Customers may receive communications necessary for administration of their purchase or account, including:

  • payment confirmations;

  • order confirmations;

  • invoices;

  • download instructions;

  • licence information;

  • account-security notifications; and

  • material Product or Service notices.

Marketing communications are subject to separate applicable consent and opt-out requirements.


๐Ÿšจ SUSPENSION & TERMINATION

๐Ÿ”’ 30. ACCOUNT AND LICENCE ENFORCEMENT

AlgoVecter may reasonably suspend or terminate an account or licence in circumstances involving:

  • fraud;

  • piracy;

  • unauthorised Product distribution;

  • material licence violations;

  • malicious activity;

  • payment abuse;

  • unlawful conduct;

  • security threats; or

  • legal or regulatory requirements.

Any suspension or termination will remain subject to applicable consumer law and contractual rights.


๐Ÿ”„ CHANGES

๐Ÿ“ 31. CHANGES TO PRODUCTS

AlgoVecter may release updates, bug fixes, security changes or compatibility modifications where appropriate.

Third-party platform changes may also require Product modifications.

Any material effect on existing customer rights remains subject to applicable law.

These Terms may be updated to reflect changes to:

  • laws and regulations;

  • Products;

  • payment systems;

  • website functionality;

  • security requirements;

  • technology; or

  • AlgoVecter's operations.

The current version will display its latest revision date.


โš–๏ธ GOVERNING LAW

๐Ÿ‡ฟ๐Ÿ‡ฆ 33. REPUBLIC OF SOUTH AFRICA

Subject to mandatory rights or jurisdictional rules that may apply to a particular customer, these Terms and the relationship between AlgoVecter and its customers are governed by the laws of the Republic of South Africa.

Applicable South African legislation may include, where relevant:

Electronic Communications and Transactions Act 25 of 2002 (ECTA)

Consumer Protection Act 68 of 2008 (CPA)

Protection of Personal Information Act 4 of 2013 (POPIA)

Nothing in these Terms is intended to contract out of mandatory provisions of applicable legislation where doing so is prohibited.


๐Ÿค DISPUTE RESOLUTION

๐Ÿ“ฉ 34. CUSTOMER COMPLAINTS

Customers should first contact AlgoVecter concerning a dispute relating to an order, account or Product.

Please provide sufficient information for the issue to be investigated, including where relevant:

  • customer's name;

  • order number;

  • Product concerned;

  • description of the issue; and

  • supporting information.

AlgoVecter will endeavour to review legitimate complaints within a reasonable period.


โš–๏ธ 35. UNRESOLVED DISPUTES

Where a dispute cannot be resolved directly, the parties may pursue an applicable dispute-resolution procedure or lawful consumer-remedy mechanism.

Subject to mandatory consumer jurisdiction rules, disputes governed by these Terms may be submitted to a court, tribunal or other body having lawful jurisdiction.

Nothing prevents a consumer from approaching an applicable regulator, ombud, consumer body, tribunal or court where the law provides that right.


โœ‚๏ธ SEVERABILITY

36. INVALID PROVISIONS

If any provision of these Terms is held invalid, unlawful or unenforceable, it will be limited or severed to the minimum extent required.

The remaining provisions will continue to operate.
